1) Provider Identity

Provider: Hilcore Group LLC (“Hilcore,” “we,” or “us”).

2) Acceptance

By creating an account, activating the trial, checking “I Accept,” or making a payment, the Client fully accepts this agreement. If you are acting on behalf of a company, you represent that you have the authority to legally bind that entity.

3) Definitions

Service: The platform and automated scheduling/reminder features provided via WhatsApp and integrated channels.

Account: The instance configured specifically for the Client.

Integrations: WhatsApp/Meta, Stripe, AI providers (e.g., OpenAI), LeadConnector/GHL, etc.

Client Content: Data and materials uploaded or generated by you using the Service.

4) License and Scope

We grant a non-exclusive, revocable, and non-transferable license to use the Service during the contracted period, consistent with these T&Cs and the Privacy Policy.

5) Registration and Eligibility

You must be 18 years or older and provide truthful information. You are responsible for your credentials and all activity occurring under your Account.

6) Permitted Use and Prohibitions

You are prohibited from using the Service for: spam, fraud, illegal activities, violation of WhatsApp/Meta policies, infringement of rights, reverse engineering, or security circumvention. You warrant that you are the owner or are fully authorized to use the connected WhatsApp number.

7) Plans, Pricing, and Billing

The subscription is monthly/annually with automatic renewal until canceled. Currency: Prices may be displayed in a local currency, but the charge is processed in USD via Stripe at the current exchange rate. 14-Day Trial: No charge. If you do not cancel before the trial ends, the selected plan will be charged. Price Changes: Apply to future periods with reasonable notice.

8) Cancellation and Refunds

You may cancel at any time before the next billing cycle (from the dashboard or by writing to [email protected]). No refunds are granted once (i) the Service is activated or (ii) the trial has ended without cancellation, except for mandatory, non-waivable rights established by your local law.

9) Taxes and Reverse Charge

The Service is provided from the U.S. To Clients outside the U.S., self-assessment of taxes ("reverse charge") may apply. Invoices will state: “Reverse charge – Export of services.” The Client is responsible for any local taxes (e.g., VAT/GST), withholding taxes, and banking fees.

10) Invoicing

We issue an international invoice in USD in the Client’s name using the details provided (company name, tax ID/VAT number if applicable).

11) Third-Party Integrations

The Service relies on WhatsApp/Meta, Stripe, OpenAI, GHL/LeadConnector, and others. You accept their terms, limits, and eventual changes, which may affect functionality. You authorize us to configure these Integrations on your behalf during the provision of the Service.

12) Availability and Support

We commit to reasonable efforts regarding availability and support via email/WhatsApp. We may improve or modify components without substantially affecting core functionality; if a substantial change occurs, we will offer alternatives or cancellation without penalty.

13) Intellectual Property

Hilcore (or its licensors) retains all rights to the Service, documentation, workflows, and templates. The Client retains ownership of their data and grants Hilcore a worldwide license to host, process, and operate that content for the purpose of providing the Service.

14) Confidentiality

Non-public information shared between the parties shall be confidential for 3 years (excluding trade secrets).

15) Personal Data

Data processing is governed by the attached Privacy Policy (an integral part of these T&Cs).

16) Suspension/Termination for Cause

We may suspend or terminate your Account due to material breach, legal/abuse risk, or non-payment. No refunds will be issued in such cases.

17) Limitation of Liability

To the maximum extent permitted by law, Hilcore is not liable for indirect damages, lost profits, moral damages, or lost data. Total liability is limited to the amount paid in the 3 months preceding the event giving rise to the claim.

18) Indemnification

You will indemnify Hilcore against third-party claims arising from your use of the Service in violation of these T&Cs or applicable law.

19) Force Majeure

Neither party will be responsible for delays or failures due to causes beyond its reasonable control.

20) Assignment

You may not assign this agreement without our consent. Hilcore may assign it in case of corporate reorganization, merger, or sale.

21) Governing Law and Disputes

This agreement is governed by the laws of Florida (USA). Disputes shall preferably be resolved through negotiation. If disputes persist, they will be subject to binding arbitration in Florida (English or Spanish) before JAMS/AAA. Consumer Rights Clause: If you are a consumer residing in a jurisdiction (such as the EU) whose law confers non-waivable rights (e.g., withdrawal rights or guarantees), those rights shall prevail where applicable.

22) Modifications

We may update these T&Cs by publishing a new "Last Updated" date. Your continued use implies acceptance.
